Corporate governance in the United Kingdom and the United States (CORPORATE GOVERNANCE)

The Researcher (Martin Conyon) proposes to investigate the quality and nature of corporate governance in the United States and the United Kingdom. Specifically, there will be two main research projects. First, the Researcher will present a social network analysis of the ownership and control of US and UK firms. The analysis will be based on recent advances in computational graph theory.In particular, the small-world network structure of ownership and control in these economies will be investigated. Theoretical arguments for modelling ownership and control as a complex network will be advanced. Secondly, the Researcher will investigate the determinants of executive compensation in the United States and the United Kingdom. The analysis will document recent trends in pay practices and test how institutions such as compensation consultants and corporate boards influence CEO pay outcomes.The efficiency of various forms of executive pay (such as stock options, restricted stock and deferred payments) will be evaluated. Econometric models of executive pay determination will be presented. Finally, as part of the Reintegration project,the Researcher will develop a course in Corporate Governance to be taught to graduate and MBA students.
